1. Services Offered

DigiSurf Agency, a subsidiary of Jake Perry Writes LTD, offers the following services: digital marketing services, including SEO, consultancy, and web design.

2. Payment Terms

Clients are required to pay for services provided by DigiSurf Agency via bank transfer. For certain projects, a 50% upfront payment may be required. Final payment is due within 14 days of receiving the invoice and upon completion of the agreed work.

3. Delivery of Services

Services will be delivered online in line with the proposed timeline of events agreed upon with the client.

4. Ownership of Intellectual Property

DigiSurf Agency retains ownership of all intellectual property rights until full payment has been received. In the event that payment is not received, DigiSurf Agency reserves the right to retain ownership of all work submitted.

5. Confidentiality

DigiSurf Agency respects client confidentiality and expects mutual confidentiality regarding all aspects of business discussions and services provided.

6. Liability

DigiSurf Agency assumes no liability for outcomes related to the services provided.

7. Termination of Services

Services may be terminated by either party with notice. Clients are responsible for payment for services rendered up to the termination date. No termination fees apply unless otherwise specified.

8. Governing Law

These Terms and Conditions are governed by the laws of the United Kingdom.

9. Dispute Resolution

Disputes will be resolved through discussions and mutually agreed-upon solutions.

10. Updates to Terms and Conditions

These Terms and Conditions may be updated annually. Clients will be notified of any updates.

DigiSurf Agency Ltd – Website Subscription Terms and Conditions

1. Introduction
These Terms and Conditions (“Agreement”) govern the subscription-based website service provided by DigiSurf Agency Ltd (“Company”, “we”, “us”, “our”) to the client (“Subscriber”, “you”). By subscribing to our service, you agree to be bound by these terms.

2. Ownership of the Website
All websites created under this subscription model remain the property of DigiSurf Agency Ltd. The Subscriber does not own the website, domain (if registered by us), or any associated assets unless otherwise agreed upon in writing.

3. Subscription Fee and Payment Terms

• The service is provided at a monthly subscription fee of £25.

• Payments are due in advance on a monthly basis.

• If payment is not received within 7 days of the due date, the website may be suspended.

• If payment is not received within 14 days, the website will be taken offline until payment is made.

• Reinstatement of a suspended website may be subject to an additional reactivation fee.

4. Subscription Inclusions

• Fully managed website design and hosting.

• Ongoing maintenance, security updates, and minor content changes.

• Basic customer support for website-related queries.

5. Subscription Cancellations and Termination

• You may cancel your subscription at any time by providing 30 days’ notice.

• Upon cancellation, the website will be taken offline unless you choose to purchase it (see Section 6).

• DigiSurf Agency Ltd reserves the right to terminate the subscription if the Subscriber violates these terms or fails to make timely payments.

6. Website Purchase Option After 24 Months

• After 24 consecutive months of subscription payments, the Subscriber has the option to purchase the website from DigiSurf Agency Ltd.

• The purchase price will be determined based on a mutual agreement between the Subscriber and DigiSurf Agency Ltd, considering factors such as design complexity, additional custom features, and any third-party integrations.

• Upon successful purchase, full ownership of the website will be transferred to the Subscriber.

7. Domain Name Ownership

• If DigiSurf Agency Ltd registers the domain on behalf of the Subscriber, it remains our property unless otherwise agreed upon in writing.

• If you wish to transfer the domain after 24 months, a transfer fee and website purchase fee will apply.

8. Liability and Disclaimers

• DigiSurf Agency Ltd is not responsible for any downtime caused by third-party hosting providers, cyberattacks, or other unforeseen circumstances.

• We do not guarantee specific performance, traffic, or revenue generation from the website.

• The Subscriber is responsible for the content they provide and must ensure it complies with all applicable laws and regulations.

9. Amendments to Terms
DigiSurf Agency Ltd reserves the right to update these terms and conditions at any time. Subscribers will be notified of any significant changes.

10. Governing Law
These terms and conditions are governed by the laws of the United Kingdom. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the UK courts.
